1. Overview

SparkLab is a prototyping subscription service operated by Camplight LTD (Company Registration No. 201875626, registered in Bulgaria at 150 Deseti Decemvri Str., Et. 2, 5800 Pleven, Bulgaria).

SparkLab provides AI-amplified rapid prototyping services for innovators, product leaders, and tech-forward teams. These Terms apply to all visitors, users, and subscribers who access or use our services.

2. Services

2.1 Subscription Service

We provide a monthly subscription service that includes:

• Dedicated expert AI Director

• Expert product strategy questionnaire

• Product strategy and planning

• UI/UX design and implementation

• Frontend and backend development

• API integrations and database architecture

• Unlimited changes and iterations (one request at a time)

• Direct access via async communication

• Cloud infrastructure setup

• Code ownership (transferred to subscriber)

• Technical documentation

• Post-launch support

2.2 Service Delivery

• Average delivery time: 24 hours per request

• One request at a time to ensure focus and quality

• 100% asynchronous workflow with zero meetings

• All collaboration conducted through Trello

• Prototypes delivered using tools including Replit, Framer, N8N, and UX Pilot

2.3 Service Limitations

• Limited to 10 active subscribers per month

• Services are delivered asynchronously only; we do not conduct meetings

• Complex projects that fall below our capability threshold may be referred to our parent company, Camplight (camplight.net)

3. Subscription Terms

3.1 Pricing

• Standard monthly subscription: €9,999/month

• Early bird pricing: €4,999/month (limited availability)

• No hidden fees or additional charges

• Payment is required in advance before work begins

3.2 Subscription Management

• No long-term contracts required

• Pause subscription anytime while retaining remaining time for future use

• Cancel subscription anytime with no penalties

• Upgrade or downgrade subscription as needed

• Unused subscription time can be retained for future use when paused

3.3 Billing

• Subscription fees are billed monthly in advance

• Payment must be received before work commences

• All prices are in Euros (€)

• Accepted payment methods will be specified during onboarding

4. Satisfaction Guarantee (20-80% Promise)

4.1 Money-Back Guarantee

If you are not satisfied with your prototype, we offer an 80% refund of your monthly payment, no questions asked. You only cover the 20% commitment cost.

4.2 Refund Process

• Refund requests must be made within the active subscription month

• Refunds are processed within 14 business days

• The 20% commitment cost covers initial setup, questionnaire development, and administrative expenses

4.3 Complex Project Handoff

If your satisfaction falls below 20%, it typically indicates your project requires more complex engineering than our rapid prototyping approach can deliver. In such cases, we offer a seamless handoff to Camplight (camplight.net), our parent company of senior engineers who specialize in complex product innovation.

5. User Responsibilities

As a subscriber to SparkLab, you agree to:

• Provide accurate, complete, and up-to-date information when required

• Complete the expert questionnaire thoroughly to enable effective prototyping

• Respond to requests for feedback in a timely manner via Trello

• Use our services only for lawful purposes

• Not infringe on the intellectual property rights of others

• Maintain the confidentiality of your account credentials

• Submit one request at a time as per our workflow

6. Intellectual Property

6.1 Your Ownership

• You retain full ownership of all code, designs, and deliverables we create for you

• Upon full payment, all intellectual property rights are transferred to you

• You receive complete code ownership with the right to modify, distribute, or commercialize

6.2 Our Property

• The SparkLab website, branding, logos, methodology, and proprietary processes remain the property of Camplight LTD

• Our AI agent frameworks, workflow systems, and internal tools are protected by copyright and intellectual property laws

• You may not reproduce, reverse-engineer, or distribute our proprietary methods without express written permission

6.3 Third-Party Tools

• Prototypes may utilize third-party platforms (Replit, Framer, N8N, etc.) subject to their respective terms of service

• You are responsible for obtaining any necessary licenses for third-party services used in your final product

7. Confidentiality and Data Protection

7.1 Your Information

We take your privacy and confidentiality seriously. Any business or personal information shared with SparkLab will be:

• Kept strictly confidential

• Not disclosed to third parties without your consent (except as required by law)

• Protected according to our Privacy Policy

• Used solely for the purpose of delivering your requested services

7.2 Non-Disclosure

We will not disclose your prototype ideas, business concepts, or proprietary information to any third party. Our team members and AI systems are bound by confidentiality obligations.

7.3 Data Processing

8. Collaboration and Communication

8.1 Async-Only Workflow

• All communication is conducted asynchronously

• We do not conduct meetings, video calls, or phone calls

• All collaboration happens through Trello

• Response times average 24 hours

8.2 Communication Channels

• Primary: Trello board (shared upon subscription)

• Secondary: Email for administrative matters

• Direct async chat access for subscribers

8.3 Feedback and Revisions

• Unlimited revisions are included in your subscription

• Feedback should be provided through Trello

• We iterate until you are completely satisfied with the result

• One request is worked on at a time to ensure quality and focus

9. Delivery and Timelines

9.1 Delivery Commitments

• Average delivery time: 24 hours per request

• Prototype delivery within 24 hours after questionnaire completion

• Timeline may vary based on project complexity and feedback cycles

9.2 Project Workflow

1. Submit your request via our submission form

2. Prepay the monthly subscription fee

3. Complete our expert questionnaire

4. We build your prototype

5. Collaborate in Trello for refinements

6. Iterate until satisfaction

9.3 Delays

While we strive to meet our 24-hour delivery commitment, timelines may be affected by:

• Incomplete or unclear requirements

• Delays in receiving feedback from you

• Technical dependencies on third-party services

• Complexity exceeding rapid prototyping scope

10. Limitation of Liability

10.1 Service Limitations

SparkLab provides rapid prototyping services optimized for speed and iteration. While we deliver functional prototypes:

• Prototypes may require additional development for production-scale deployment

• We are not liable for third-party service outages or limitations

• Complex architecture requirements may necessitate handoff to Camplight

10.2 Liability Cap

To the maximum extent permitted by law:

• Camplight LTD's total liability shall not exceed the amount paid by you for services in the month in which the claim arose

• We are not liable for indirect, incidental, consequential, or punitive damages

• We are not liable for loss of profits, data, business opportunities, or reputation

10.3 Service Availability

While we strive for continuous service availability:

• We do not guarantee uninterrupted access to our services

• Scheduled maintenance may temporarily affect service availability

• We are not liable for damages resulting from service interruptions

11. Termination

11.1 Your Right to Terminate

• You may cancel your subscription at any time with no penalties

• You may pause your subscription and retain unused time

• Cancellation takes effect at the end of the current billing period

• No refunds for partial months (except under our 80% satisfaction guarantee)

11.2 Our Right to Terminate

We reserve the right to terminate your access to SparkLab services if you:

• Violate these Terms and Conditions

• Provide false or misleading information

• Engage in abusive or harassing behavior toward our team

• Use our services for illegal or unethical purposes

• Fail to make payment when due

11.3 Effect of Termination

Upon termination:

• You retain ownership of all completed deliverables

• Access to collaboration tools (Trello, etc.) will be revoked

• Any prepaid but unused subscription time may be refunded at our discretion (except in cases of termination for cause)

12. Warranties and Disclaimers

12.1 Service Warranty

We warrant that:

• Services will be performed with reasonable skill and care

• Deliverables will substantially conform to agreed specifications

• We will use commercially reasonable efforts to meet delivery timelines

12.2 Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Services are provided "as is" without warranties of any kind

• We do not warrant that prototypes will be error-free or meet all your requirements

• We do not warrant compatibility with all third-party services

• We disclaim all implied warranties including merchantability and fitness for a particular purpose

13. Indemnification

You agree to indemnify and hold harmless Camplight LTD, SparkLab, and our directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our services

• Your violation of these Terms

• Your violation of any third-party rights

• Content or information you provide to us

14. Dispute Resolution

14.1 Informal Resolution

Before pursuing formal legal action, parties agree to attempt to resolve disputes through good-faith negotiation.

14.2 Governing Law

These Terms are governed by the laws of Bulgaria, without regard to conflict of law principles.

14.3 Jurisdiction

Any disputes arising from these Terms or our services shall be resolved in the courts of Pleven, Bulgaria.

14.4 Arbitration (Optional)

Parties may mutually agree to submit disputes to binding arbitration as an alternative to court proceedings.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Camplight LTD regarding SparkLab services.

15.2 Modifications

We reserve the right to modify these Terms at any time. Changes will be:

• Effective immediately upon posting

• Your continued use of services after changes constitutes acceptance

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
